Enzie is licensed to You (End-User) by Krisztian Nagy, located and registered at Tancsics Mihaly 10, Kisgyor, BAZ 3556, Hungary ("Licensor"), for use only under the terms of this License Agreement.
By downloading the Licensed Application from Apple's software distribution platform ("App Store"), and any update thereto (as permitted by this License Agreement), You indicate that You agree to be bound by all of the terms and conditions of this License Agreement, and that You accept this License Agreement. App Store is referred to in this License Agreement as "Services."
The parties of this License Agreement acknowledge that the Services are not a Party to this License Agreement and are not bound by any provisions or obligations with regard to the Licensed Application, such as warranty, liability, maintenance and support thereof. Krisztian Nagy, not the Services, is solely responsible for the Licensed Application and the content thereof.
This License Agreement may not provide for usage rules for the Licensed Application that are in conflict with the latest Apple Media Services Terms and Conditions ("Usage Rules"). Krisztian Nagy acknowledges that it had the opportunity to review the Usage Rules and this License Agreement is not conflicting with them.
Enzie when purchased or downloaded through the Services, is licensed to You for use only under the terms of this License Agreement. The Licensor reserves all rights not expressly granted to You. Enzie is to be used on devices that operate with Apple's operating systems ("iOS" and "Mac OS").
Enzie ("Licensed Application") is a piece of software created to provide users with a privacy-first intelligent AI companion that maintains persistent memory and enables natural conversations while keeping personal data securely stored on user devices. — and customized for iOS mobile devices ("Devices"). It is used to facilitate ongoing conversations between users and an AI assistant that remembers user preferences and context, processes images, supports multiple languages, and provides personalized responses through secure real-time communication.
The Licensed Application is not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use this Licensed Application. You may not use the Licensed Application in a way that would violate the Gramm-Leach-Bliley Act (GLBA).
You must be at least 18 years old or the minimum age required to consent to use the Licensed Application in your location, whichever is higher, to use this Licensed Application.
IMPORTANT: Artificial Intelligence Limitations
The Licensed Application uses artificial intelligence and large language models, which are frontier technologies still improving in accuracy, reliability, and safety. When you use our Licensed Application, you acknowledge and agree that:
You are given a non-transferable, non-exclusive, non-sublicensable license to install and use the Licensed Application on any Devices that You (End-User) own or control and as permitted by the Usage Rules, with the exception that such Licensed Application may be accessed and used by other accounts associated with You (End-User, The Purchaser) via Family Sharing or volume purchasing.
This license will also govern any updates of the Licensed Application provided by Licensor that replace, repair, and/or supplement the first Licensed Application, unless a separate license is provided for such update, in which case the terms of that new license will govern.
You may not share or make the Licensed Application available to third parties (unless to the degree allowed by the Usage Rules, and with Krisztian Nagy's prior written consent), sell, rent, lend, lease or otherwise redistribute the Licensed Application.
You may not reverse engineer, translate, disassemble, integrate, decompile, remove, modify, combine, create derivative works or updates of, adapt, or attempt to derive the source code of the Licensed Application, or any part thereof (except with Krisztian Nagy's prior written consent).
You may not copy (excluding when expressly authorized by this license and the Usage Rules) or alter the Licensed Application or portions thereof. You may create and store copies only on devices that You own or control for backup keeping under the terms of this license, the Usage Rules, and any other terms and conditions that apply to the device or software used. You may not remove any intellectual property notices. You acknowledge that no unauthorized third parties may gain access to these copies at any time. If you sell your Devices to a third party, you must remove the Licensed Application from the Devices before doing so.
Violations of the obligations mentioned above, as well as the attempt of such infringement, may be subject to prosecution and damages.
Licensor reserves the right to modify the terms and conditions of licensing.
Nothing in this license should be interpreted to restrict third-party terms. When using the Licensed Application, You must ensure that You comply with applicable third-party terms and conditions.
If the Licensed Application requires account creation, you are responsible for maintaining the security of your account credentials. You may not share your account login information with anyone else. You are responsible for all activity occurring under your account, and you agree to notify us immediately if you become aware of any unauthorized access to your account by contacting us at hello@enzie.ai.
Licensor attempts to keep the Licensed Application updated so that it complies with modified/new versions of the firmware and new hardware. You are not granted rights to claim such an update.
You acknowledge that it is Your responsibility to confirm and determine that the app end-user device on which You intend to use the Licensed Application satisfies the technical specifications mentioned above.
Licensor reserves the right to modify the technical specifications as it sees appropriate at any time.
We may offer manual or automatic updates to the Licensed Application, including security patches, bug fixes, and feature enhancements, without advance notice to you. You acknowledge and agree that we may update the Licensed Application automatically, and these updates are subject to this License Agreement. The Licensed Application may include open source software components, and in the event of any conflict between this License Agreement and open-source license terms, such open-source terms will control as to those specific components.
The Licensor is solely responsible for providing any maintenance and support services for this Licensed Application. You can reach the Licensor at the email address listed in the App Store Overview for this Licensed Application.
Krisztian Nagy and the End-User acknowledge that the Services have no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.
The Licensed Application and its features are novel and will change over time. We may add or remove features, increase or decrease capacity limits, or modify functionality at our discretion. We reserve the right to modify, suspend, temporarily discontinue, or permanently discontinue the Licensed Application or any features thereof, in whole or in part, at any time with or without notice to you. While we will strive to provide reasonable advance notice for significant changes, there may be urgent situations—such as preventing abuse, responding to legal requirements, or addressing security and operability issues—where advance notice is not feasible. We will not be liable for any modification, suspension, or discontinuation of the Licensed Application or any features thereof.
Your conversations, chat content, memories, and related AI-generated content are stored locally on your device and are not transmitted to or stored on our servers. We do not have access to the content of your conversations with the AI.

By submitting images, you consent to this processing. You should not submit images containing sensitive biometric data, private documents, or content you do not want processed by AI services.
We appreciate feedback, including ideas, suggestions for improvement, or ratings regarding the Licensed Application ("Feedback"). You have no obligation to provide Feedback, but if you do, you agree that we may use such Feedback however we choose without any obligation, compensation, or other payment to you. By providing Feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services.
Automatic AI Feedback: The AI may automatically submit feedback to us during your conversations for purposes such as bug reports, feature requests, and service improvements. This automatic feedback is completely anonymous and not tied to any user identification - we cannot identify who submitted the feedback or trace it back to any specific user account. While this feedback may include context about the current conversation to help us understand issues or improvement opportunities, it will not include personally identifiable information. This automatic feedback helps us improve the AI's performance and the overall user experience.
The Licensed Application integrates with third-party AI services and may integrate with other third-party services. We do not control, endorse, or accept responsibility for these third-party services. Your use of any third-party services is at your own risk and subject to their respective terms, conditions, and privacy policies.

The Licensed Application allows you to create, submit, and store content including but not limited to text, conversations, images, and other materials (collectively, "Contributions") as part of your private conversations with the AI. Your Contributions are stored locally on your device and are not made publicly available by us. You may choose to share screenshots or content from the app at your own discretion. When you create or make available any Contributions, you represent and warrant that:
Any use of the Licensed Application in violation of the foregoing violates this License Agreement and will result in immediate termination or suspension of your rights to use the Licensed Application and removal of all associated content.
We reserve the right to prevent you from accessing the Licensed Application in cases where we detect abuse from the user in any way, including but not limited to:
Such prevention of access may be implemented immediately and without prior notice when necessary to protect the Licensed Application, other users, or third parties. We may, at our sole discretion, provide you with an opportunity to remedy the violation, but we are under no obligation to do so.
We commit to reviewing and acting upon reports of objectionable content or abusive behavior within a reasonable timeframe upon receiving such reports. Upon confirmation of violations, we will promptly remove the offending content and terminate the violating user's access to the Licensed Application.
Your Contributions (conversations, messages, images, and other content) remain private and are stored locally on your device. You retain full ownership of all of your Contributions and any intellectual property rights associated with them.
You grant us a limited, revocable, non-exclusive, non-transferable license to process your Contributions solely for the following purposes:
This license does not include the right to sell, distribute, publicly display, or commercially exploit your Contributions. We will not access, view, or use your private conversations except as necessary for the limited purposes described above and only with your explicit consent or as required by law.
We are not liable for any statements or representations in your Contributions. You are solely responsible for your Contributions to the Licensed Application and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions, except where such limitation is prohibited by applicable law.
We may delete or restrict access to Contributions that violate these Terms, but we have no obligation to monitor your Contributions.

YOUR USE OF THE LICENSED APPLICATION IS SOLELY AT YOUR OWN RISK. THE LICENSED APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND, TO THE FULLEST EXTENT PERMISSIBLE UNDER GOVERNING LAW, IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
WE AND OUR PROVIDERS EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, TITLE, MERCHANTABILITY, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, PRIVACY, COMPATIBILITY, NON-INFRINGEMENT, AND ANY WARRANTY IMPLIED BY COURSE OF DEALING, COURSE OF PERFORMANCE, OR TRADE USAGE. WE DO NOT WARRANT THAT THE LICENSED APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE FULLEST EXTENT PERMISSIBLE UNDER GOVERNING LAW, IN NO EVENT WILL KRISZTIAN NAGY, OUR AFFILIATES, INVESTORS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR OTHER DAMAGES ARISING OUT OF OR IN ANY WAY RELATED TO THE LICENSED APPLICATION, YOUR USE THEREOF, OR THIS LICENSE AGREEMENT, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.
TO THE FULLEST EXTENT PERMISSIBLE UNDER GOVERNING LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION ARISING OUT OF OR IN ANY WAY RELATED TO THE LICENSED APPLICATION OR THIS LICENSE AGREEMENT WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE LICENSED APPLICATION (IF ANY) IN THE SIX MONTHS PRECEDING THE DATE SUCH DAMAGES FIRST AROSE, AND $100.
YOU AGREE TO INDEMNIFY AND HOLD HARMLESS KRISZTIAN NAGY AND OUR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUCCESSORS, AND ASSIGNS FROM AND AGAINST ANY AND ALL LIABILITIES, CLAIMS, DAMAGES, EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES AND COSTS), AND OTHER LOSSES ARISING OUT OF OR RELATED TO: (A) YOUR BREACH OR ALLEGED BREACH OF THIS LICENSE AGREEMENT; (B) YOUR USE OF THE LICENSED APPLICATION; (C) ANY VIOLATION OF GOVERNING LAW OR ANY THIRD-PARTY RIGHT BY YOU; AND (D) ANY ACTUAL OR ALLEGED FRAUD, INTENTIONAL MISCONDUCT, GROSS NEGLIGENCE, OR CRIMINAL ACTS COMMITTED BY YOU.
THE LAWS OF SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES OR CERTAIN TYPES OF DAMAGES, SO SOME OR ALL OF THE DISCLAIMERS AND LIMITATIONS OF LIABILITY IN THIS LICENSE AGREEMENT MAY NOT APPLY TO YOU. Nothing in this License Agreement limits liability where such limitation is prohibited by applicable consumer protection law. The limitation mentioned above does not apply to injuries to life, limb, or health where prohibited by law.
Licensor warrants that the Licensed Application is free of spyware, trojan horses, viruses, or any other malware at the time of Your download. Licensor warrants that the Licensed Application works as described in the user documentation.
No warranty is provided for the Licensed Application that is not executable on the device, that has been unauthorizedly modified, handled inappropriately or culpably, combined or installed with inappropriate hardware or software, used with inappropriate accessories, regardless if by Yourself or by third parties, or if there are any other reasons outside of Krisztian Nagy's sphere of influence that affect the executability of the Licensed Application.
You are required to inspect the Licensed Application immediately after installing it and notify Krisztian Nagy about issues discovered without delay by email provided in Contact Information. The defect report will be taken into consideration and further investigated if it has been emailed within a period of fourteen (14) days after discovery.
If we confirm that the Licensed Application is defective, Krisztian Nagy reserves a choice to remedy the situation either by means of solving the defect or substitute delivery.
In the event of any failure of the Licensed Application to conform to any applicable warranty, You may notify the Services Store Operator, and Your Licensed Application purchase price will be refunded to You. To the maximum extent permitted by applicable law, the Services Store Operator will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other losses, claims, damages, liabilities, expenses, and costs attributable to any negligence to adhere to any warranty.
If the user is an entrepreneur, any claim based on faults expires after a statutory period of limitation amounting to twelve (12) months after the Licensed Application was made available to the user. The statutory periods of limitation given by law apply for users who are consumers.
Krisztian Nagy and the End-User acknowledge that Krisztian Nagy, and not the Services, is responsible for addressing any claims of the End-User or any third party relating to the Licensed Application or the End-User's possession and/or use of that Licensed Application, including, but not limited to:
You represent and warrant that you are not located in a country that is subject to a US Government embargo, or that has been designated by the US Government as a "terrorist supporting" country, and that you are not listed on any US Government list of prohibited or restricted parties.

We are committed to addressing all reports promptly and taking appropriate action to maintain a safe and respectful environment for all users.
The license is valid until terminated by Krisztian Nagy or by You. Your rights under this license will terminate automatically and without notice from Krisztian Nagy if You fail to adhere to any term(s) of this license. Upon License termination, You shall stop all use of the Licensed Application, and destroy all copies, full or partial, of the Licensed Application.
The following sections survive termination: 5 (Use of Data), 7 (Contribution License), 8 (Disclaimer of Warranties and Limitation of Liability), 16 (Governing Law and Jurisdiction), and 17 (Miscellaneous).
Krisztian Nagy represents and warrants that Krisztian Nagy will comply with applicable third-party terms of agreement when using Licensed Application.
In Accordance with Section 9 of the "Instructions for Minimum Terms of Developer's End-User License Agreement," Apple's subsidiaries shall be third-party beneficiaries of this End User License Agreement and — upon Your acceptance of the terms and conditions of this License Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this End User License Agreement against You as a third-party beneficiary thereof.
Krisztian Nagy and the End-User acknowledge that, in the event of any third-party claim that the Licensed Application or the End-User's possession and use of that Licensed Application infringes on the third party's intellectual property rights, Krisztian Nagy, and not the Services, will be solely responsible for the investigation, defense, settlement, and discharge or any such intellectual property infringement claims.
This License Agreement is governed by and construed in accordance with the laws of Hungary, excluding its conflicts of law rules. However, this choice of law does not deprive you of mandatory consumer protections under the law of your habitual residence where such protections cannot be waived by agreement.
Any disputes arising out of or relating to this License Agreement will be resolved exclusively in the courts of Hungary, and you submit to the personal and exclusive jurisdiction of those courts, subject to applicable consumer protection laws that may provide you with additional rights to bring proceedings in your local jurisdiction.
You agree that (a) no adequate remedy exists at law if you breach the terms of this License Agreement; (b) it would be difficult to determine the damages resulting from such breach, and any such breach would cause irreparable harm; and (c) a grant of injunctive relief provides the best remedy for any such breach. You waive any opposition to such injunctive relief, as well as any demand that we prove actual damage or post a bond or other security in connection with such injunctive relief.
We may revise and update this License Agreement at our discretion. Examples of times we may update these Terms include: (1) to reflect changes in our Licensed Application, like when we add or remove features or update pricing, (2) for security or legal reasons, or (3) to promote safety or prevent abuse. If you continue to use the Licensed Application after we post updated Terms, you agree to the updated Terms. If you do not accept the updated Terms, you must stop using the Licensed Application.
If any of the terms of this agreement should be or become invalid, the validity of the remaining provisions shall not be affected. Invalid terms will be replaced by valid ones formulated in a way that will achieve the primary purpose.
Any delay or failure on our part to enforce a provision of this License Agreement is not a waiver of our right to enforce them later.
This License Agreement may not be transferred or assigned by you without our prior written consent, but may be assigned by us without restriction.
This License Agreement and any other terms expressly incorporated by reference form the entire agreement between you and us regarding the subject matter of this License Agreement.
Collateral agreements, changes and amendments are only valid if laid down in writing. The preceding clause can only be waived in writing.
You may not, without our prior written permission, use our name, logos, or other trademarks in connection with products or services other than the Licensed Application, or in any other way that implies our affiliation, endorsement, or sponsorship.
This License Agreement is written in English. While the Licensed Application may support multiple languages, this English version of the License Agreement governs your use of the Licensed Application. Any translations of this License Agreement are provided for convenience only and do not modify the terms of this English version.
